Terms of Service

1. Acceptance of Terms

By accessing Graycliff Growth products, dashboards, or APIs, you agree to be bound by these Terms of Service and all policies referenced herein. If you do not agree, you must discontinue use immediately.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater. If you are accepting these terms on behalf of an entity, you represent that you have authority to bind that entity.

3. Account and Security

• Provide accurate, complete information and update it as needed.
• Safeguard credentials; you are responsible for all activity under your account.
• Notify us promptly of any unauthorized access or security incidents.

4. Acceptable Use

• No unlawful, harmful, or abusive behavior, including harassment and discrimination.
• No reverse engineering, scraping beyond rate limits, or circumvention of security controls.
• No interference with the normal operation of our infrastructure.

5. Content and Licenses

You retain rights to your content. You grant Graycliff Growth a limited, worldwide, non-exclusive license to host, process, and display your content solely to provide and improve the services.

6. Privacy

We process personal data per our privacy practices and applicable law. Where required, we rely on Standard Contractual Clauses for international transfers.

7. Payment and Taxes

• Fees are billed per the plan you select and are non-refundable unless required by law.
• You are responsible for all applicable taxes and governmental charges.

8. Service Changes

We may modify or discontinue features with notice where practicable. Material changes to these terms will be communicated and become effective on the date specified.

9. Warranties and Disclaimers

The services are provided “as is.” To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted, Graycliff Growth and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Our aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Graycliff Growth and its officers, directors, employees, and agents from claims arising from your use of the services or violation of these terms.

12. Governing Law; Dispute Resolution

These terms are governed by the laws of the State of Delaware, excluding conflicts of law principles. Disputes will be resolved by binding arbitration in Wilmington, Delaware, under AAA rules, on an individual basis.

13. Suspension and Termination

We may suspend or terminate access for violations or risks to security, integrity, or legal compliance. Upon termination, your right to use the services ceases immediately.

14. Updates to Terms

We may update the terms periodically. We will provide notice of material updates and the effective date. Continued use after the effective date constitutes acceptance.

16. Service Level Addendum (v3.2)

Uptime target: 99.9% monthly. Credits apply when uptime falls below target and are capped at 25% of the monthly fee.
